Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the VantageIEP website and services (the “Service”), operated by Joshua Wood (“VantageIEP,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Service.
1. The Service
VantageIEP analyzes the Individualized Education Program (“IEP”) document that you upload and delivers a written report, based on the contents of that document, identifying document-level observations, potential inconsistencies, and questions for your consideration. The Service may support additional document types in the future, but only the document types identified as supported on the upload page may currently be submitted. The reports and any other output of the Service are educational information only.
2. Not Legal Advice
VantageIEP is not a law firm and does not provide legal, medical, psychological, or other professional advice. Nothing in the Service or in any report creates an attorney-client relationship or any professional-client relationship. For legal guidance regarding your child’s educational rights, consult a qualified special education attorney or advocate.
3. No Guarantee of Outcomes
Using the Service does not guarantee any particular result in an IEP meeting, due process proceeding, mediation, complaint, or any other educational or legal matter.
4. Accuracy; Verify Findings
The analysis is generated through automated processing and may contain errors, omissions, or inaccuracies. You are responsible for independently verifying any findings that matter to you, with your child’s school team, a qualified advocate or attorney, or another appropriate professional, before relying on them.
5. Eligibility and Your Responsibilities
- You must be at least 18 years old and able to form a binding contract to use the Service.
- You represent that you are the parent or guardian of the child to whom an uploaded document pertains, or a professional authorized to have and review that document.
- You are responsible for the accuracy of, and your authorization to upload and review, every document you submit.
- You agree not to upload documents concerning a child over whom you do not have legal authority, and not to use the Service for any unlawful purpose.
- If you are a professional, you are responsible for obtaining any client permission required by your engagement, your professional responsibilities, or applicable law before uploading a document.
6. Purchases, Pricing, and Refunds
Prices for reports and any plans are shown at the point of purchase. Payments are processed by our payment provider, Stripe; by making a purchase, you also agree to Stripe’s applicable terms.
Because reports are delivered digitally and generated on demand, purchases are generally non-refundable once a report has been generated, except where a refund is required by law. If a technical error prevents your report from being generated, contact us at support@vantageiep.com and we will re-run it or issue a refund.
Some users may access the Service using a code we issue. Codes are intended for the recipient we provide them to, are limited in the number of times they can be used, and may be revoked.
Where a purchase includes multiple walkthrough credits (for example, the IEP Year Pack), those credits are intended for one child, expire twelve months after purchase, and are non-transferable. Unused credits are not separately refundable except as stated above.
7. Your Content and Intellectual Property
- You retain all ownership of the documents you upload.
- The report generated for you is yours to use, share, print, and incorporate into your own preparation, advocacy, and client work, subject to your professional obligations and these Terms.
- You grant us a limited license to process your uploaded documents solely to provide the Service to you, as described in our Privacy Policy. We delete uploaded documents promptly after your report is generated.
- We retain all rights in the Service, including our software, analysis methodology, and report formats. These Terms do not grant you any right to copy, resell, or build a competing or derivative product from the Service.
8. Acceptable Use
You agree not to:
- upload any document you are not authorized to share;
- attempt to disrupt, reverse engineer, or gain unauthorized access to the Service or its underlying systems;
- use the Service to build a competing product; or
- use the Service in violation of any applicable law.
9. Privacy
Your use of the Service is also governed by our Privacy Policy, which explains how we handle your information and the documents you upload.
10. Disclaimers
THE SERVICE AND ALL REPORTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY REPORT WILL BE ACCURATE OR COMPLETE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VANTAGEIEP AND JOSHUA WOOD WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS ARISING FROM YOUR RELIANCE ON ANY REPORT OR ON THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless VantageIEP and Joshua Wood from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your misuse of the Service, your violation of these Terms, or your uploading of any document you were not authorized to share.
13. Termination
We may suspend or terminate your access to the Service at any time if you violate these Terms or misuse the Service. You may stop using the Service at any time.
14. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will update the “Effective date” above and, where appropriate, provide additional notice. Your continued use of the Service after the changes take effect constitutes your acceptance of the updated Terms.
15. Governing Law and Venue
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the personal jurisdiction of those courts.
